　　高程德，东吴大学法律系本科毕业，北京大学经济系研究生毕业，历任东吴大学法学院、华东政法学院助教，清华大学政治经济学讲师，北京大学光华管理学院教授、博士生导师。曾任北京大学学术委员会委员、经济研究所所长、工商管理研究所所长、经济学院副院长，中美经济学教育交流委员会委员，维也纳经济大学、韩国中央大学客座教授，法国巴黎大学、日本丽泽大学、澳门大学访问学者，全国人大《证券法》起草小组副组长，中国国际咨询公司专家委员会委员，东友律师事务所高级顾问。主要研究领域：企业管理、民商法、国际票据管理。

　　2.公民的民事行为能力
　　公民的民事行为能力，是指公民以自己的行为依法行使民事权利和承担民事义务的资格。比如，某个人能以自己独立的行为与人签订有法律效力的合同。所有公民都具有民事权利能力，但不是任何公民都有民事行为能力。法律要求公民达到一定年龄，以及能够对自己的行为及其可能产生的法律后果具有认识能力和判断能力，才具有行为能力。比如，婴儿出生就有继承权，有取得遗产的权利能力，但是，不到一定年龄，不能独立处理自己继承的财产。法律这样规定的目的，主要是为了保护未成年人和患有精神病人的合法权益，同时也是为了维护正常的经济、社会秩序。因为，当公民不具备独立处理自己事务的能力时，很可能做出对自己及社会不利的法律行为，而使自己或社会蒙受损失。因此，行为能力与权利能力是不同的，它不是从公民一出生就有的，也不是一切公民都有的，而是根据他们的年龄或者精神状态的不同情况，享有不同的行为能力。按我国《民法通则》规定，一是具有完全民事行为能力的人，能够独立行使民事权利，承担民事义务。年满18周岁的成年人，是具有完全民事行为能力的人。16周岁以上不满18周岁的公民，以自己的劳动收入为主要生活来源的，比如，16周岁的公民到公司当实习生，视为完全民事行为能力人；二是限制民事行为能力人。年满10周岁以上的未成年人和不能完全辨认自己行为后果的精神病人，是限制民事行为能力人。限制民事行为能力人能够行使与自己年龄、智力和精神健康状态相适应的民事活动。比如，买些生活上的必需品及价格较低的普通商品等；其他民事活动，由他的法定代理人代理，或者征得他的法定代理人的同意；三是无民事行为能力人，不能独立行使民事权利。不满10周岁的未成年人和完全不能辨别自己行为后果的精神病人，是无民事行为能力人。无民事行为能力人的民事活动，由他的法定代理人代理。
　　对于精神病患者及其他精神失常不能独立处理自己事务的人，经利害关系人申请，人民法院在查明事实后，可以宣告为无行为能力人。
　　无行为能力人所进行的民事活动、行为能力受限制的人所进行的依法不能独立进行的民事活动，都不发生法律效力。比如，禁止其管理自己的财产等民事活动。
　　对精神病患者宣告为无行为能力，是在一定时期内对其行为能力的一种限制，而不是其行为能力的终止。所以，根据精神病患者健康恢复的状况，经本人或利害关系人申请，人民法院可以宣告他为限制民事行为能力人或者完全民事行为能力人。
　　所以，公民要有民事行为能力，必须具有意识能力及达到一定年龄。公民的民事行为能力也是随着公民的死亡而消灭，即终于死亡，但不是始于出生。
　　（三）法人的基本特征和意义
　　1.法人的基本特征
　　法人，是指具有民事权利能力和民事行为能力，依法独立享有民事权利和承担民事义务的组织。企业、机关、事业单位、社会团体等组织符合法定条件的都可以成为法人。比如，国有企业、集体所有制企业、私人企业、在我国领域内设立的中外合资经营企业、中外合作经营企业和外资企业，企业之间或者企业、事业单位之间联营组成的新的经济实体、有独立经费的机关以及具备法人条件的事业单位、社会团体等。在经济活动中，企业法人是主要的。国家机关作为法人是因为它在进行某些经济活动时，应该以法人的身份而不是以其行政职能机构的面目出现。比如，它到工厂订购产品，或与农民订立农产品收购合同时，就是以法人资格出现的，应该按照平等、自愿和有偿的原则办事。只有当它行使国家机关的权力职能时，它就不是以法人的身份出现了。比如，依法征税、征地及交通管制等。
　　法人的本质是法律对一定的社会组织赋予法律上的人格。这种法律上的人格使法人成为除自然人以外的民事法律关系权利义务主体，从而使它具有主体所应有的民事权利能力和民事行为能力。

前言/序言

　　我在北京大学经济管理专业开设“经济法”课程是从1978级起始的，本书是为此而写的教材。鉴于经济管理专业的学生一般没有学过法律，对法律的一些基本概念与规定，特别是民事法律的基本概念与规定不了解，比如，不了解民事权利主体、民事权利与民事义务的关系、法人制度、民事法律行为、物权、债权、代理与时效、合同制度、民事责任等，这样就不可能真正理解掌握各种具体的、单行的商事经济法律。比如，公司法、证券法、票据法、保险法、专利法、商标法、著作权法，以及反不正当竞争法、消费者权益保护法、海商法等。
　　民法的规定是调整财产关系（即商品经济关系）及人身关系（即人们基于生命健康权、姓名权、名称权、肖像权、名誉权、财产继承权、专利权、商标权、著作权等发生的关系）的法律规定。人身关系本身虽然不是商品经济关系，但它与商品经济关系有着极其密切的联系。从经济法是国家为调整经济关系而制定的法律规范概念出发，则民法也可以说是经济法，而且我认为是基本的经济法。世界上最著名的民法典——拿破仑法典（即法国民法典）对商品经济的发展起了极大的推动作用。民法对其他的经济法规具有指导的意义，民法的一些基本规定都适用于其他的经济法规。民法对其他的商事经济法律来说是一般法，也即基本法，而其他商事经济法律对民法来说则是特别法。一般法与特别法在法律效力上的关系是：如果其他的商事经济法律不违背民法的规定或者民法允许其他商事经济法律另有规定的，则其他商事经济法律的效力就优先于民法。但如果其他商事经济法律违背民法的规定，而民法又没有规定其他商事经济法律可以另行规定的，则其他商事经济法律应遵守民法的规定。
　　民法是以调整商品经济关系中的一般条件作为对象，而单行商事经济法律是以调整具体的经济活动作为对象。因此单行的商事经济法律中包含商品经济关系的规范，则可以视为民法在该商事经济法律调整的经济活动中的补充和发展。
　　本书第一章至第七章是阐述民法的基本原则与规定，第八章至第十八章是阐述一些具体的商事经济法律。第十九章是由于侵权行为所应承担损害赔偿责任，也是与经济问题直接相关。第二十章财产继承本身虽不属于商品关系，但是涉及人死后财产的归属问题。财产继承权是从所有权派生出来的一种财产权利，因此它与所有权有着密切的关系。继承法也是民法中的一个组成部分。第二十一章是关于民事经济纠纷的处理，也就是如何进行仲裁或民事诉讼。由于经济管理专业开设有微观经济的课程，比如，企业管理、财政与税收、银行与信贷、金融与证券、会计与统计、市场营销等，如果再讲这些方面的法律规定，内容容易有重复之处，而且经济管理专业不可能对法律方面的课程安排很多的学时。因此本书选择了经济管理专业学生需要掌握，但又精简了一些与该专业其他课程内容有重复的商事经济法律。经过三十年的教学实践，我认为这样的结构，能使学生掌握一些基本的与经济有关的民事经济法规，从而起到举一反三的效果。因此本书也可称为民商法。我在北大光华管理学院对本科生开民商法的课程，用此教材。因学时有限，主要讲授第一章至第七章及第十九章；另外我还对研究生从法律的角度开设公司组织与管理和国际票据管理等课程。
